Terms of Service

Last updated: October 2026 · Negotiated LLC

Client Obligations

Clients agree to provide accurate and complete information during intake and throughout the engagement. Providing materially false or incomplete information is a material breach of the Client Service Agreement. Either party may terminate the engagement on written notice if the other party materially breaches the agreement and does not cure the breach within five business days of written notice.

Clients agree to notify us before contacting any dealer about a vehicle we are actively negotiating on their behalf. If a client initiates direct contact with such a dealer without prior written notice, we may terminate the negotiation engagement for that vehicle. For Price Negotiation Only engagements, that termination is governed by the applicable non-refundable fee provisions. For Full Purchase Concierge engagements, that termination is without obligation to refund the Full Purchase Concierge fee, as provided in the Client Service Agreement.

If we end an engagement because of an uncured material breach, because the client abandoned the engagement by not responding, or because the client contacted a dealer without prior written notice, the fee is fully earned and not refunded. The one exception is abandonment before the service's refund point, where we keep 50% of the fee and refund the other 50%. If we end an engagement for our own convenience, we refund the applicable service fee in full.

Engagement and Payment

Advisory engagements are confirmed upon receipt of the applicable service fee. Fees are due prior to the commencement of any dealer negotiation or advisory work. All fees are stated in U.S. dollars. We accept ACH transfer, credit card, check, and Zelle.

Refund eligibility is set separately for each service by the Client Service Agreement and described in our Refund Policy. The Full Purchase Concierge and Price Negotiation Only fees are each refundable until Negotiated first contacts a dealer on your behalf for the applicable engagement. The Pre-Purchase F&I Consultation fee is refundable until the scheduled consultation session begins. The F&I Audit fee is refundable until substantive review of your contract begins.

These refund points assume you stay responsive. If you do not respond to three documented written requests sent over at least seven calendar days, the engagement is treated as abandoned. We then keep 50% of the fee if this happens before the service's refund point, and the full fee if it happens after.

The signed Client Service Agreement controls the terms of each paid engagement.

Dispute Resolution and Governing Law

The parties will first attempt to resolve any dispute arising from or related to these Terms or any advisory engagement through good-faith negotiation. If negotiation does not resolve the dispute within thirty days, either party may pursue the remedies described below.

A dispute in which the amount in controversy does not exceed the then-applicable jurisdictional limit of the Small Claims Division of the Special Civil Part of the Superior Court of New Jersey will be submitted exclusively to that court in Somerset County, New Jersey. Any dispute exceeding that limit may be pursued in the courts of Somerset County, New Jersey. The parties consent to the exclusive jurisdiction of Somerset County, New Jersey for all disputes arising from these Terms or any advisory engagement.

These Terms of Service and each advisory engagement are governed by the laws of the State of New Jersey.

Limitation of Liability

Negotiated LLC's total liability to any client for any claim arising from an advisory engagement shall not exceed the amount of the fee paid for that engagement. Negotiated LLC shall not be liable for consequential, incidental, indirect, or special damages of any kind. This limitation applies to the maximum extent permitted by applicable law.

No Guarantee of Outcome

Negotiated LLC does not guarantee any specific savings amount, deal structure, vehicle availability, or transaction outcome. Market conditions, dealer inventory, and individual credit profiles affect all vehicle transactions. Past savings achieved for other clients are illustrative and do not predict your specific outcome.

Savings figures referenced in testimonials and marketing materials reflect actual outcomes reported by those specific clients and are not representations of typical results.

Scope of Advisory Services

Our advisory services are limited to the scope specified in the applicable Client Service Agreement. We do not provide legal advice, tax advice, or insurance advice. Statements made by our advisors regarding F&I products, financing terms, or vehicle valuations are informational and should not be construed as legal or financial counsel.

We are not responsible for decisions made by the client regarding vehicle selection, financing terms accepted, or F&I products elected. Our role is to inform, advise, and negotiate on your behalf — final decisions remain with the client.

Our F&I review services explain the terms and cost of finance and insurance products as presented, identify the typical market pricing range for those products based on general industry knowledge, and describe cancellation or rescission rights that may be available under applicable law. Negotiated does not recommend that a client purchase, retain, or cancel any specific insurance or financial product.
